NashMarkAI Investment · 04 — Ownership
Brand, ownership and investment scope
Participation is defined by the opportunity being funded. Investment in the FDP does not automatically transfer ownership of the wider NashMarkAI programme or founder-owned assets.
Proposal section
11. NashMarkAI Brand, Ownership and Investment Scope
NashMarkAI was founded by Endarr Carlton Ramdin, the originator of its underlying architecture and wider programme of research, models and applications. The NHS Sovereign FDP is the first commercial infrastructure product within that programme. Investment can support its institutional deployment, expansion into other sectors and global rollout under the NashMarkAI brand.
The scope of participation will reflect the investor’s ambition and the capital committed. Three structures are proposed for discussion:
| Investment scope | Commercial participation |
|---|---|
| NHS Sovereign FDP business | Implementation, hardware supply, integration, consultancy and recurring maintenance and support associated with the FDP product. |
| Territorial or sector partnership | Delivery and service operations within an agreed geography or sector, with defined arrangements for use of the NashMarkAI brand, deployment assets and partner support. |
| Broader NashMarkAI enterprise | Participation in the wider business, including the FDP, sovereign AI infrastructure, local and edge computing, and additional applications expressly included in the investment agreement. |
Investment in the FDP business would not automatically confer ownership of the entire NashMarkAI programme, its brand or the founder’s other work. Any equity participation, assignment or licensing of founder-owned assets would be expressly identified and agreed. Existing open-source releases would remain subject to their published licences.
11.1 Founder Contribution and Brand Rights
Endarr Carlton Ramdin’s contribution includes the originating architecture, published technical materials, reference implementation, product direction and development of the NashMarkAI identity. These existing contributions form part of the investment discussion alongside the capital and delivery capability introduced by investors.
The proposed founder role encompasses architectural direction, product strategy and stewardship of the wider programme. Founder equity, remuneration and any agreed purchase of existing founder shares would be addressed separately from the operating budget. Capital subscribed to the business and consideration paid directly to the founder would be clearly distinguished.
The investment agreement would specify ownership and permitted use of the NashMarkAI name, trademarks, domains, documentation and other identified assets. Territorial partnerships would define brand-use rights, delivery standards and the arrangements applying when a partnership ends.
11.2 Global Brand and Commercial Expansion
The commercial ambition is to establish NashMarkAI as an international sovereign infrastructure brand, supported by repeatable deployment methods, institutional references and qualified delivery partners.
The NHS Sovereign FDP provides the initial route to market. Successful deployments can generate continuing demand for infrastructure monitoring, database administration, hardware renewal, additional integrations and approved local applications. International partners can extend that delivery capacity into separately assessed markets.
The value of the wider enterprise therefore extends beyond the revenue from its first hospital deployment. Its potential rests on the combination of reusable technical assets, recurring customer relationships, delivery expertise and a recognisable brand associated with institutional control.
The investment structure should reflect the opportunity being funded: a first deployment, a national delivery business or a coordinated global rollout. Participation in that wider opportunity would be negotiated explicitly, with the founder’s existing contribution and the investor’s proposed commitment considered together.
